Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Major Bean (the “Service”), operated by Accounting Café (“we”, “us”). By creating an account or using the Service, you agree to these Terms. If you are agreeing on behalf of a firm, you confirm you are authorised to bind that firm.
1. The Service
Major Bean is a practice-management platform for accounting and audit firms, providing client management, workflows, document requests, communications, reporting, and optional integrations with third-party accounting platforms. We may add, change, or remove features over time.
2. Accounts and eligibility
- You must provide accurate registration information and keep it up to date.
- You are responsible for safeguarding your login credentials and for all activity under your account. Keep two-factor authentication enabled.
- You must be authorised to process the client data you place in the Service.
3. Subscriptions, billing, and cancellation
- Paid plans are billed in advance on a monthly or annual cycle via our payment processor (Stripe), in the currency shown at checkout.
- Fees are exclusive of any applicable taxes unless stated otherwise.
- You may cancel at any time; cancellation takes effect at the end of the current billing period. Except where required by law, fees already paid are non-refundable.
- We may change prices with reasonable prior notice; changes apply from your next billing cycle.
4. Acceptable use
You agree not to misuse the Service, including by: attempting to breach security or access data that is not yours; uploading unlawful, infringing, or malicious content; reselling or reverse-engineering the Service; or using it in a way that harms the platform or other users.
5. Your data
You retain all rights to the data you and your firm put into the Service (“Your Data”). You grant us a limited licence to host, process, and transmit Your Data solely to provide and support the Service, as described in our Privacy Policy. You are responsible for the accuracy and lawfulness of Your Data.
6. Third-party integrations
When you connect a third-party platform (such as Xero, Sage, QuickBooks, or Google), you authorise Major Bean to access data from that platform on your behalf, limited to what each feature requires. Your use of those platforms remains subject to their own terms and privacy policies. We are not responsible for third-party services, and access may change or be withdrawn by those providers.
7. Intellectual property
The Service, including its software, design, and branding, is owned by us or our licensors and is protected by law. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service; they do not transfer any ownership to you.
8. Availability and warranties
We aim for high availability but do not guarantee the Service will be uninterrupted or error-free. The Service is provided “as is” and “as available”, without warranties of any kind to the maximum extent permitted by law. You are responsible for keeping your own records and for professional decisions made using the Service.
9. Limitation of liability
To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, or consequential loss, or loss of profits, data, or goodwill. Our total liability for any claim relating to the Service is limited to the fees you paid us in the twelve (12) months before the event giving rise to the claim.
10. Indemnity
You agree to indemnify us against claims arising from your breach of these Terms, your misuse of the Service, or your data infringing the rights of others.
11. Suspension and termination
You may stop using the Service at any time. We may suspend or terminate access if you breach these Terms, fail to pay, or use the Service unlawfully. On termination, your right to use the Service ends and we will handle Your Data as described in the Privacy Policy.
12. Governing law
These Terms are governed by the laws of the Republic of South Africa, and the courts of South Africa have jurisdiction, unless mandatory local law provides otherwise.
13. Changes to these Terms
We may update these Terms from time to time. Material changes will be notified within the Service or by email. Continued use after changes take effect constitutes acceptance.
